Mira Terms of Service
1. Introduction & UK Jurisdiction
Welcome to Mira. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an organization, and the operator of Mira ("we", "us", "our"), regarding your access to and use of the Mira web application, mobile applications, and associated services (collectively, the "Service").
Mira is personally operated as an individual software product in the United Kingdom. By accessing or utilizing the Service, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms.
These Terms and any non-contractual obligations arising out of or in connection with them are governed by and construed in accordance with the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
2. Eligibility & Account Security
To create an account and access the Service, you must comply with the following eligibility requirements:
- You must be at least 13 years of age (in compliance with UK GDPR data processing consent standards for digital services).
- If you are between the ages of 13 and 18, you represent and warrant that you have obtained explicit permission from your parent or legal guardian to access the Service, and that they agree to these Terms on your behalf.
- All registration information you submit must be completely accurate, current, and truthful.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you establish a Team, Organization, or Enterprise account:
The primary administrator or organization owner is held fully and jointly responsible for all actions, data submissions, security configurations, and compliance with these Terms by all individual users invited to access seats under their subscription plan.
3. Subscriptions & Billing Notice
Certain aspects of the Service are provided on a paid subscription basis. By subscribing, you agree to auto-renewing charges billed periodically (monthly or annually) using your chosen payment provider.
Subscription fees are billed in advance on a recurring, periodic basis. Your subscription will automatically renew at the end of each billing cycle under identical pricing and terms unless you cancel your plan prior to the renewal date through your account settings.
30-Day Rate Modification Guarantee
We reserve the right to adjust subscription rates at any time. However, we covenant to provide you with at least 30 days advance notice of any price changes via email or direct system notification, allowing you ample opportunity to cancel your subscription if you do not agree to the new rates.
4. UK Statutory Refund Waiver
Under the UK Consumer Contracts Regulations, consumers purchasing digital content online are generally entitled to a statutory 14-day "cooling-off" cancellation period.
However, due to the nature of Software as a Service (SaaS), the performance and delivery of our digital service begin immediately upon transaction completion.
By subscribing to Mira and activating your account, you explicitly request immediate service delivery and acknowledge that you waive your statutory 14-day cooling-off right to cancel and request a refund once access has been initiated.
Consequently, all subscription payments are strictly non-refundable, and we do not provide refunds or credits for partial subscription periods, unused seats, or remaining time on cancelled accounts.
This waiver does not affect your statutory rights under the UK Consumer Rights Act 2015 if the digital service is determined to be fundamentally faulty, defective, or misdescribed, and we are unable to repair or replace the service within a reasonable timeframe.
5. Data Ownership & Systems License
We recognize that the privacy and integrity of your workspace are paramount.
You retain 100% ownership of all data, text, schedules, task details, calendar integrations, and work history records that you transmit or input into the Service ("User Content"). Mira claims no intellectual property rights or ownership interest over any of your data.
By uploading or entering User Content, you grant Mira a limited, worldwide, non-exclusive, royalty-free, fully paid license to host, store, process, transmit, and display your data solely to provide, maintain, support, and secure the Service for you and your designated team members. This license terminates automatically when you delete your data or cancel your account.
6. Aide AI & Privacy Promise
Mira includes our background assistant, Aide, which supports your tracking process. We operate under strict data protection protocols regarding artificial intelligence:

We promise that Mira will never utilize, share, or store your task descriptions, team work logs, calendar entries, or personal schedules to train third-party artificial intelligence models, machine learning algorithms, or large language models. Your business operations and details remain strictly private to your isolated workspace.
All outputs, reviews, and insights generated by the Service are for reference and informational purposes only. The user holds 100% final responsibility for making their own project planning, resource allocation, and scheduling decisions.
7. Continuity & Limitation of Liability
The Service is provided on an "as-is" and "as-available" basis without warranties or representations of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. We do not guarantee that the Service will be completely secure, error-free, or free of temporary downtime.
To the maximum extent permitted by applicable UK law, in no event shall the operator of Mira be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or inability to access or use the Service.
- Any temporary downtime, scheduled maintenance, or data sync latency.
- Any unauthorized access, alteration, or loss of your transmissions or User Content.
Our total cumulative liability for any claims arising under or in connection with these Terms or the use of the Service shall be strictly capped at and limited to the total subscription fees paid by you to Mira in the twelve (12) months preceding the event giving rise to the claim (or a maximum of £100 if you are using a free tier).
Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability which cannot be lawfully excluded or limited under English law.
